1. Acceptance of Terms
These Terms of Service (“Terms”) govern access to and use of the SciFork Insight platform (the “Service”), operated by SciFork SARL (“SciFork”, “we”, “us”, or “our”).
2. Service Description
SciFork Insight enables users to upload documents and query them using AI-assisted retrieval. The Service provides responses based on retrieved document content. Features include automated document indexing via third-party artificial intelligence providers, grounded response generation, and the ability to view, verify, and download source documents.
3. AI Disclaimer, Citations, and Limitation of Accuracy
3.1. Nature of Generative AI: The Service utilizes advanced generative AI models to retrieve information and generate responses based on the documents you upload. While the Service is designed to ground its answers in your documents and provide citations to specific sections, pages, or paragraphs, you acknowledge that the AI is not infallible.
3.2. The "Citation" Disclaimer: The AI may misquote, omit crucial context, or generate logically flawed reasoning ("hallucinations"), even when explicitly citing or linking to a source document. The presence of a citation or reference link does not guarantee that the AI has accurately summarized, translated, or understood the underlying text.
3.3. User Verification Requirement: You agree that you must independently read and verify all AI-generated outputs against the original, full-text source documents before relying on them for any personal, professional, academic, or commercial purpose.
3.4. Absolute Limitation of Liability: SciFork SARL does not guarantee the accuracy, completeness, or reliability of any AI-generated output. Under no circumstances shall SciFork SARL be liable for any damages, losses, or flawed decisions resulting from your reliance on the AI outputs, misquoted text, or inaccurate citations generated by the Service.
4. No Professional Advice
The Service does not provide medical, legal, or financial advice. Users are responsible for how they use the outputs. The Service is intended for informational and document-retrieval purposes only.
5. User Content and Intellectual Property
5.1. Your Ownership and Copyright Liability:
You retain all rights, title, and interest (including any intellectual property rights) in and to the documents, text, and data you upload to the Service ("User Content"). SciFork SARL claims no ownership over your User Content.
- Copyright Liability: Because the Service allows users (and invited Team Members) to upload PDFs, query text, and download source documents, you represent and warrant that you hold the necessary licenses, copyrights, or explicit permissions for any document you upload.
5.2. License to SciFork:
By uploading User Content to the Service, you grant SciFork SARL a non-exclusive, worldwide, royalty-free license to host, store, index, process, and transmit your User Content solely for the purpose of providing, maintaining, and securing the Service to you and your authorized Team Members.
5.3. Revocation and Termination of License:
This license is strictly tied to your active use of the Service. It is automatically revoked, and our right to process your User Content terminates, when you manually delete the specific documents from your account or when your account is permanently terminated (subject to the technical deletion timelines outlined in Section 10).
5.4. Acceptable Use and Prohibited Content
Your use of the Service is strictly subject to our Acceptable Use Policy ("AUP"), which is hereby incorporated by reference into these Terms. By using the Service, you agree not to upload, store, process, or query any content that violates the AUP. SciFork SARL reserves the right to immediately suspend or permanently terminate your account, without notice or refund, if we determine in our sole discretion that you have violated the AUP.
6. Data Processing and Third-Party Sub-Processors
To provide AI-assisted retrieval, the Service relies on third-party cloud and AI infrastructure.
- 6.1. Authorized Sub-Processors: SciFork SARL engages select third-party vendors (Sub-processors) to assist in delivering the Service, including data hosting and artificial intelligence generation. A current, publicly accessible list of our authorized Sub-processors is available at subprocessors.html.
- 6.2. Data Isolation and Access Control: Your documents are indexed within a secure, centralized data store. To ensure your privacy, we implement strict logical access controls using metadata filtering. When you query your knowledge base, the Service programmatically restricts the search and the AI generation to retrieve context only from the specific documents associated with your authenticated user account.
- 6.3. Consent: By using the Service, you consent to your uploaded documents being processed by these listed third-party providers strictly for the purpose of generating your requested search indexes and responses.
7. Logging, Security, and Monitoring
7.1. System Logging: To ensure the security, stability, and performance of the Service, SciFork SARL automatically records standard system logs. This includes technical data such as your IP address, browser type, device metadata, login timestamps, and query volume metrics.
7.2. Purpose of Monitoring: We collect and process this metadata strictly for diagnostic purposes, to detect and prevent fraud, to monitor for security vulnerabilities, and to ensure compliance with our Acceptable Use Policy (AUP) (e.g., enforcing rate limits and preventing automated abuse).
7.3. Log Retention: Standard system logs are retained securely for a period of up to [90] days, after which they are automatically rotated and deleted. However, if a specific log is flagged as part of an active security incident, fraud investigation, or legal obligation, we reserve the right to retain it until the investigation is fully resolved.

8. User Accounts
Users are responsible for maintaining the confidentiality of their account credentials and for all activity that occurs under their account. You agree to notify SciFork SARL of any unauthorized use of your account.
8.1 Team Members and Shared Access
The Service allows the primary account holder (the "Account Owner") to invite other individuals ("Team Members") to access and query their knowledge bases. If you utilize this feature, the following rules apply:
- Roles and Permissions: Team Members are granted limited, query-only access to the Account Owner’s knowledge bases. Team Members cannot upload new documents, delete existing documents, or alter the structure of the Account Owner's knowledge bases.
- Credit Allocation and Financial Responsibility: The Account Owner is solely responsible for allocating query credits to their Team Members. When a Team Member exhausts their allocated credits, their query access will be suspended until the Account Owner assigns additional credits. The Account Owner bears full financial responsibility for all credits consumed by their invited Team Members.
- Liability and Compliance: The Account Owner is strictly liable for the actions of their Team Members. Any violation of these Terms or the Acceptable Use Policy (AUP) by a Team Member will be treated as a direct violation by the Account Owner and may result in the immediate suspension or termination of the entire account.
- Data Sharing and Download Authorization: By inviting a Team Member, the Account Owner explicitly authorizes SciFork SARL to expose the contents of their uploaded documents to the Team Member. This includes both displaying information through AI-generated query responses and allowing the Team Member to view, access, and download the original referenced source documents. The Account Owner represents and warrants that they have the necessary rights, licenses, and permissions to share the full text of these documents with their invited Team Members.
9. Payments, Credits, and Billing
9.1. Subscriptions and Additional Purchases
Access to the Service is billed on a subscription basis in advance. In addition to your recurring subscription, the Account Owner may purchase one-time packages of extra Credits ("Add-on Credits") at any time to supplement their account balance. All fees, whether for subscriptions or Add-on Credits, are non-refundable unless required by mandatory Swiss or EU law. We reserve the right to change our pricing at any time. However, if we increase the fees for your current subscription, we will provide you with at least thirty (30) days' advance notice before the new pricing takes effect. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the modified fee. If you do not agree to the price increase, you must cancel your subscription before your next billing cycle begins.
9.2. Credit-Based Usage and Depletion
AI generation and document querying consume "Credits." Your account receives a base allocation of Credits according to your chosen subscription tier, combined with any Add-on Credits you have purchased.
- Account Suspension: If your main account exhausts its total available Credit balance, querying functionality will be suspended until your subscription resets at the next billing cycle, or until you purchase an Add-on Credit package.
- No Auto-Billing for Overages: The Service enforces a hard cap based on your available Credit balance. You will not be automatically billed for overages; any additional Add-on Credits must be explicitly purchased by the Account Owner.
9.3. Credit Allocation for Team Members (Sub-Accounts)
If you utilize the Team Member feature, the Account Owner is responsible for manually assigning a specific number of Credits to each invited Team Member from the main account's total balance.
- Sub-Account Suspension: When a Team Member exhausts their specific assigned allocation, their individual querying functionality will be immediately suspended. They will not be able to execute further queries until the Account Owner manually assigns them additional Credits.
- Financial Liability: The Account Owner is strictly liable for all Credits consumed by invited sub-accounts. SciFork SARL will not issue refunds or restore Credits that were exhausted by a Team Member's usage.
9.4. Trial Access
Any free trial access or promotional Credits provided by SciFork SARL may be limited, suspended, or revoked at our sole discretion at any time without prior notice.
10. Data Retention and Deletion
- 10.1. Account Deletion: User data, including all uploaded documents, knowledge bases, and chat histories, is permanently deleted from our active servers within thirty (30) days of account termination, except where retention is required by law.
- 10.2. Document Deletion: If you manually delete a specific document from your account, it is immediately rendered inaccessible to users and will be permanently deleted from our active indexing servers and databases within 30 days.
- 10.3. System Backups: To ensure the stability and recovery of the Service, deleted data may remain securely encrypted in our system backups for an additional period of up to 60 days before being permanently overwritten and destroyed.
11. Service Availability
The Service is provided on an “as-is” and “as-available” basis. SciFork SARL does not guarantee uninterrupted or error-free operation and may suspend access for maintenance, updates, or technical reasons.
12. Limitation of Liability
12.1. Exclusion of Indirect Damages: To the maximum extent permitted by applicable law, in no event shall SciFork SARL, its directors, employees, or authorized sub-processors be liable for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, loss of data, loss of goodwill, business interruption, or other intangible losses resulting from your access to, use of, or inability to access the Service.
12.2. AI Outputs and Citations: As explicitly detailed in Section 3 (AI Disclaimer), SciFork SARL bears absolutely no liability for any damages, errors, or flawed business decisions resulting from your reliance on AI-generated outputs, hallucinations, or inaccurate document citations. You are solely responsible for verifying the AI's answers against your original User Content.
12.3. Liability Cap: In no event shall SciFork SARL's aggregate liability for all claims relating to the Service exceed the greater of:
- (a) the total amount of fees you paid to SciFork SARL for the Service in the twelve (12) months immediately preceding the event giving rise to the claim; or
- (b) fifty Swiss Francs (CHF 50).
12.4. Mandatory Legal Exceptions: Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, for fraudulent misrepresentation, for gross negligence or willful misconduct, or for any other liability that cannot be lawfully limited or excluded under mandatory Swiss law.
13. Modifications to the Terms
13.1. Right to Modify: SciFork SARL reserves the right to update or modify these Terms of Service, the Acceptable Use Policy (AUP), or any other associated policies at any time to reflect changes in our Service, business practices, or legal requirements.
13.2. Notice of Material Changes: If we make modifications that materially alter your rights, increase your financial obligations, or significantly change the scope of the Service, we will provide you with reasonable advance notice—typically at least thirty (30) days before the changes take effect. We will notify the primary Account Owner via the email address registered to the account and/or through a prominent notification within the SciFork Insight app.
13.3. Non-Material Changes: Minor updates, administrative corrections, or typographical fixes that do not negatively impact your rights may take effect immediately upon posting the updated Terms to our website (scifork.com/insight/legal). We will update the "Last updated" date at the top of the document accordingly.
13.4. Acceptance of Changes: Your continued use of the Service after the effective date of the updated Terms constitutes your binding acceptance of the changes. If you do not agree to the modified Terms, your sole and exclusive remedy is to cancel your subscription and terminate your account prior to the date the changes take effect.
14. Privacy and Data Protection
Your privacy is critically important to us. Our collection, use, storage, and processing of your personal data are governed by our Privacy Policy, which is designed to comply with applicable data protection laws, including the Swiss Federal Act on Data Protection (FADP) and the EU General Data Protection Regulation (GDPR). By using the Service, you acknowledge that you have read and understood our Privacy Policy.
Business Users (B2B): If you are using the Service on behalf of a company or organization to upload and process documents containing the personal data of third parties (such as clients or employees), your use of the Service is additionally subject to our Data Processing Agreement (DPA). By accepting these Terms, business users explicitly agree to be bound by the DPA as incorporated herein.
15. Term, Suspension, and Termination
15.1. Termination by You: You may cancel your subscription and terminate your account at any time through your account settings. Your cancellation will take effect at the end of your current paid billing cycle, and you will not be charged again. No refunds are provided for partial billing periods.
15.2. Termination or Suspension for Cause: SciFork SARL reserves the right to immediately suspend or permanently terminate your account and your access to the Service, without prior notice or liability, if:
- You violate these Terms of Service or the Acceptable Use Policy (AUP).
- You fail to pay any fees owed when due.
- We are required to do so to comply with a legal requirement, court order, or lawful request from a government authority.
- Your continued use of the Service poses a security risk to our infrastructure or to other users.
15.3. Termination for Convenience: SciFork SARL reserves the right to discontinue the Service entirely or terminate your account for any other reason. In such cases, we will provide you with at least thirty (30) days' advance written notice. If we terminate your account under this provision without cause, we will issue a pro-rated refund for any prepaid, unused subscription time.
15.4. Effect of Termination: Upon termination of your account for any reason, your right to access and use the Service will immediately cease. Your User Content and active knowledge bases will be securely deleted in accordance with the timelines established in Section 10 (Data Retention and Deletion). Provisions of these Terms that by their nature should survive termination (including, but not limited to, intellectual property rights, AI disclaimers, and limitations of liability) shall remain in full force and effect.
16. Dispute Resolution, Governing Law, and Jurisdiction
16.1. Informal Dispute Resolution: We want to address your concerns without needing a formal legal case. Before filing a claim against SciFork SARL, you agree to try to resolve the dispute informally by contacting us at legal@scifork.com with a detailed description of the issue. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within thirty (30) days of our receipt of your initial written notice, you or SciFork SARL may bring a formal proceeding.
16.2. Injunctive Relief: Notwithstanding the above, SciFork SARL retains the right to seek immediate injunctive or equitable relief in any court of competent jurisdiction at any time to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or the Acceptable Use Policy (AUP).
16.3. Governing Law: These Terms, and any dispute arising out of or in connection with them or the Service, shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of law principles.
16.4. Jurisdiction: Subject to the mandatory informal dispute resolution process above, you and SciFork SARL agree that any legal proceedings shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Geneva, Switzerland.
